Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and Meridian Vitality LLC ("Meridian," "we," "us," or "our"). They govern your access to and use of meridian-vitality.com and Meridian's technology, administrative, care-coordination, membership, communication, and related services (collectively, the "Services").

By accessing or using the Services, creating an account, submitting an assessment or intake, or purchasing a Meridian service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.

Additional terms or consents may apply to a specific purchase, telehealth encounter, healthcare provider, pharmacy, laboratory, or other service. If there is a conflict, the more specific terms control for that service.

1. Eligibility and location

You must be at least 18 years old and legally capable of entering into a contract to use the Services. You may use the Services only for yourself unless Meridian expressly authorizes another arrangement. You must provide complete and accurate information and keep it current.

Healthcare services are available only where the treating provider is appropriately licensed and the requested service is legally and operationally available. You must accurately report your physical location at the time of a telehealth encounter. Meridian or a provider may decline, pause, or redirect a request based on location, eligibility, safety, clinical appropriateness, or applicable law.

2. Meridian is a technology and administrative services company

Meridian is not a medical practice, pharmacy, or laboratory. Meridian does not independently diagnose, prescribe, dispense medication, or make treatment decisions. Meridian provides technology and administrative support that helps individuals submit information and connect with licensed healthcare professionals affiliated with an independent physician group supported through MD Integrations ("MDI") or another disclosed clinical partner.

Technology may organize the health information you provide. All clinical evaluations and treatment decisions are made by a licensed provider. Nothing in Meridian's general website content, software-generated organization of information, customer support, or administrative communications is medical advice.

3. No emergencies

The Services are not designed for medical emergencies or urgent conditions. Do not use the Services to seek emergency help. If you believe you are experiencing an emergency, call 911 or go to the nearest emergency department. Do not delay seeking emergency or in-person care because of information on the Services or while waiting for a response.

4. Independent healthcare providers and clinical relationship

Medical services, if any, are provided by independent licensed healthcare professionals, not by Meridian. Providers are solely responsible for their clinical judgment, diagnoses, treatment recommendations, prescriptions, follow-up instructions, referrals, and medical records.

Submitting an assessment, completing an intake, paying a Meridian fee, or creating an account does not guarantee that a provider will accept you for care, determine that treatment is appropriate, issue a prescription, order testing, or recommend any particular service. A provider-patient relationship is established only as determined by the treating provider and applicable law, after required clinical review and consents.

You should ask the treating provider questions about risks, benefits, alternatives, expected results, medication instructions, side effects, follow-up, and when to seek in-person care. If a provider recommends a prescription or other clinical service, the provider or fulfilling organization will provide any required service-specific disclosures.

5. Telehealth

Telehealth uses electronic communications to support care when you and a provider are in different locations. Telehealth may involve limitations, including incomplete information, technology failure, delays, privacy risks, or the need for an in-person examination or additional testing. A provider may decide that telehealth is not appropriate and may direct you to in-person or emergency care.

Your clinical provider will present any telehealth consent required by law. These Terms do not replace that clinical consent or the provider's Notice of Privacy Practices.

You are responsible for using a reasonably private location and secure device and network for telehealth communications. You must not record a telehealth encounter unless every participant has given permission and applicable law allows it.

6. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for activity under your account. Do not share credentials or allow another person to impersonate you. Notify support@meridian-vitality.com promptly if you suspect unauthorized access, loss of credentials, or inaccurate account information.

We may require identity verification, multi-factor authentication, or other security steps. You agree not to circumvent security controls or attempt to access another person's information.

7. Your responsibilities

You agree to:

  • provide complete, current, and truthful information, including health history, medications, allergies, location, and safety-screening responses;
  • follow provider instructions and seek clarification when you do not understand them;
  • promptly report significant changes, adverse reactions, or inaccurate information to the appropriate provider;
  • use the Services only for lawful, personal purposes; and
  • obtain in-person or emergency care when instructed or when reasonably necessary.

Meridian and providers are entitled to rely on the information you submit. Incomplete or inaccurate information may delay service or create safety risks.

8. Pharmacies, laboratories, shipping, and other third parties

If a licensed provider orders a prescription, laboratory service, or another clinical service, fulfillment may be performed by an independent licensed pharmacy, laboratory, carrier, or other organization. These organizations are responsible for their own professional services, licensure, fulfillment, product handling, privacy practices, and service terms.

Availability, timing, and shipping may vary. A provider may select or change a fulfilling organization based on licensure, availability, your location, clinical factors, or applicable law. Meridian does not guarantee that a particular pharmacy, laboratory, product, formulation, shipment date, or result time will be available.

9. Fees, payment, membership, and automatic renewal

Prices, included services, billing frequency, and material purchase terms will be shown before you complete a purchase. Unless expressly stated otherwise, Meridian's Services are self-pay. Meridian does not guarantee insurance coverage or reimbursement.

You authorize Meridian and its payment processor to charge the payment method you provide for amounts you approve, including applicable taxes and disclosed recurring charges. You represent that you are authorized to use the payment method. If payment fails, we may retry the charge as permitted by law and may pause or cancel access to paid Services.

If a membership or other purchase is presented as automatically renewing, it will renew at the interval and price disclosed at enrollment until canceled. By enrolling, you authorize recurring charges without a separate notice before each renewal, except where law requires additional notice. We will provide legally required renewal or price-change notices.

10. Cancellation and refunds

You may cancel an automatically renewing Meridian membership through any cancellation method shown in your account or by contacting support@meridian-vitality.com. To avoid the next renewal charge, submit cancellation before the next billing date. Cancellation ordinarily takes effect at the end of the current paid period, and access to included Meridian Services may continue until then.

Except where required by law or expressly stated at checkout, in an order confirmation, or in a service-specific policy, fees for a paid period that has begun are nonrefundable and are not prorated. If Meridian cancels a paid Meridian service before it is provided, Meridian will provide the refund or credit required by law and any applicable purchase terms.

Healthcare-provider fees, laboratory fees, prescription or pharmacy charges, shipping charges, and other third-party charges may be governed by separate cancellation and refund terms disclosed by the applicable organization. After a service is performed or an order is transmitted for processing or fulfillment, some charges may be noncancelable or nonrefundable to the extent permitted by law.

Contact support@meridian-vitality.com promptly if you believe a charge is incorrect. Nothing in this section limits rights that cannot be waived under applicable law.

11. Communications and electronic records

You consent to receive agreements, disclosures, notices, receipts, and other records electronically. You may withdraw consent to electronic records by contacting us, but doing so may prevent continued use of Services that require electronic communications.

We may send transactional email or text messages about accounts, identity verification, appointments, orders, payments, safety information, or requested services. Marketing messages require any consent mandated by law and are not a condition of purchasing goods or services. Message and data rates may apply. Message frequency varies. Reply STOP to opt out of marketing texts and HELP for help. Opting out of marketing does not stop necessary non-marketing communications where permitted by law.

You are responsible for keeping contact information current and for protecting the privacy of messages delivered to your device or account.

12. Website content and intellectual property

The Services and their content, design, software, text, graphics, trademarks, and other materials are owned by Meridian or its licensors and are protected by law. Subject to these Terms, Meridian grants you a limited, personal, revocable, nonexclusive, nontransferable license to use the Services for their intended purpose.

You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, create derivative works from, or commercially exploit the Services except as law expressly permits or Meridian authorizes in writing.

13. Information you submit

You retain ownership of information you submit. You grant Meridian a limited right to host, process, reproduce, transmit, display, and otherwise use that information as necessary to provide, secure, administer, and improve the Services and to meet legal obligations, consistent with our Privacy Policy and applicable law.

You represent that you have the right to submit the information and that doing so does not violate another person's rights. Do not upload malicious code, unlawful content, or information about another person without authorization.

14. Prohibited conduct

You may not:

  • use the Services for fraud, unlawful activity, resale, or commercial exploitation;
  • impersonate another person or misrepresent identity, age, location, eligibility, or health information;
  • interfere with security, availability, or operation of the Services;
  • probe, scan, test, or exploit vulnerabilities without written authorization;
  • introduce malware, automate abusive requests, scrape protected content, or attempt unauthorized access;
  • harass providers, staff, or other users; or
  • use information obtained through the Services to discriminate, cause harm, or violate law.

15. Third-party links and services

The Services may contain links to or integrations with services controlled by others. Meridian is not responsible for third-party content, availability, security, privacy practices, or terms. A link or integration does not imply endorsement unless expressly stated.

16. Privacy

Our Privacy Policy, Consumer Health Data Privacy Notice, and Privacy Choices describe how Meridian handles personal information. Independent providers and other third parties may provide separate privacy notices.

17. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, MERIDIAN'S TECHNOLOGY AND ADMINISTRATIVE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." MERIDIAN DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MERIDIAN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY PURPOSE.

MERIDIAN DOES NOT WARRANT OR GUARANTEE CLINICAL ELIGIBILITY, A PRESCRIPTION, A PARTICULAR TREATMENT, WEIGHT CHANGE, HEALTH OUTCOME, PRODUCT AVAILABILITY, SHIPPING TIME, LABORATORY RESULT, INSURANCE REIMBURSEMENT, OR RESULT FROM USING THE SERVICES.

Nothing in these Terms disclaims a warranty or right that cannot lawfully be disclaimed.

18. Limitation of Meridian's liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MERIDIAN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, MERIDIAN'S TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO MERIDIAN FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT OR (B) $100.

These limitations apply only to Meridian and its technology and administrative services. They do not determine the liability of an independent healthcare provider, physician group, pharmacy, laboratory, or other third party for its own acts or omissions. Some jurisdictions do not allow certain limitations, so some of this section may not apply to you.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Meridian and its officers, directors, employees, and agents from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful use of the Services, material violation of these Terms, infringement of another person's rights, or fraudulent or intentionally false information. This obligation does not apply to the extent a claim results from Meridian's own negligence, willful misconduct, or violation of law.

20. Suspension and termination

We may suspend or terminate access if you violate these Terms, create a safety or security risk, fail to pay authorized charges, misuse the Services, or if continued access would violate law or third-party obligations. We may also modify or discontinue a Service, subject to applicable refund obligations.

You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, liability limitations, indemnification, and dispute provisions.

21. Governing law and venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except to the extent another law must apply. Any court proceeding arising from these Terms or Meridian's Services must be brought in a state or federal court with jurisdiction in Fulton County, Georgia, and you and Meridian consent to that venue and jurisdiction.

This section does not prevent you from exercising a nonwaivable right or remedy available under applicable consumer law.

22. Changes to these Terms

We may update these Terms. We will post the updated version and revise the effective date. If a change materially affects an existing paid membership or another ongoing service, we will provide any additional notice required by law. Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law.

23. Miscellaneous

These Terms and any applicable service-specific terms are the entire agreement between you and Meridian regarding the Services covered by them. If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. Meridian's failure to enforce a provision is not a waiver. You may not assign these Terms without Meridian's written consent; Meridian may assign them in connection with a reorganization, financing, sale, or transfer of the applicable business.
